Shipping & Return

  • Title:  Title of Product(s) and right of possession shall remain with SOLTEC until Customer’s full payment is received.
  • Taxes:  Product(s) prices are exclusive of, and Customer shall pay, all applicable sales, use, service, value added or like taxes including all State and Local taxes.
  • Prices and Payment:  Payment in full is due from Customer at time of Product(s) delivery unless SOLTEC approves Customer for credit terms.  If credit terms are approved, payment is due no later than 30 days from date of SOLTEC’s invoice.  All sums not paid are subject to accrual, at the lesser, of a monthly interest rate of 1.5% or the highest rate permissible by law on the unpaid balance until paid in full.  Payments shall be made only in U.S. Dollars.
  • Orders:  All orders are subject to acceptance by SOLTEC.  A booked order constitutes acceptance of an order.
  • Delivery:  Customer shall pay all applicable freight charges.  International shipments require special shipping procedures.  For International shipments SOLTEC shall prepay all freight charges and other necessary fees and shall carry out customs formalities necessary to ship from the U.S.A.  SOLTEC shall invoice the Customer for these International fees, freights charges, and handling fees.  Orders are shipped at the earliest possible date and as close to the Customer’s requested shipment date, if any.  Claims for shipment shortage shall be deemed waived unless presented to SOLTEC in writing within forty-five (45) days of shipment.
  • Limited Warranty:  SOLTEC Product(s)s carry the manufacturers warranty against defects in materials and workmanship.  Typical warranty is one (1) year from delivery date SOLTEC ships the Product(s) to Customer.  Software Product(s) may require a license agreement and are warranted for a period of ninety (90) days from delivery date.
  • Customer Remedies: SOLTEC’s sole obligation, Customer’s sole remedy, with respect to the Limited Warranty stated herein shall be to, at its option, repair/replace any defective Product(s), provided SOLTEC receives written notice of such defects during the applicable warranty period.
  • Return/Cancellation/Change Policy:  All Product(s) sales are final.  Any return of Product(s) as allowed under Limited Warranty shall require that Customer obtain a Return Material Authorization (RMA) number prior to shipping any Product(s) to SOLTEC.
  • No Other Warranties:  Except as expressly set forth above, the Product(s) are provided “as is” without warranty of any kind, and no other warranties, either expressed or implied are made with respect to the Product(s) including but not limited to any implied fitness for a particular purpose, title or non-infringement or any other warranties that may arise from usage or trade or course of dealing.  SOLTEC does not warrant, guarantee, or make any representations regarding the use of or the results of the use of the Product(s) in terms of correctness, accuracy, reliability, or otherwise and does not warrant that the operation of the Product(s)s will be uninterrupted or error free.  SOLTEC expressly disclaims any warranties not stated herein.
  • No Liability for Consequential Damages:  To the maximum extent permitted by applicable law, in no event shall SOLTEC and its licensors, distributors, Manufacturers Representatives and suppliers be liable for any damages, including, but not limited to, any special, direct, indirect, incidental, exemplary, or consequential damages, expenses, lost profits, lost savings , business interruption, lost business information, or any other damages arising out of the use or inability to use the Product(s)s, even if SOLTEC or its licensors, distributors, Manufacturers Representatives, and supplies has been advised of the possibility of such damages.  Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply.  If the foregoing limitation of liability is not enforceable because a SOLTEC Product(s) sold or licensed to a Customer is determined by a court of competent jurisdiction in a final, non-appealable judgment to be defective and to have directly caused bodily injury, death, or property damage, in no event shall SOLTEC Corporation’s liability for property damage exceed the greater of $20,000 or fees paid for the specific Product(s) that caused such damage.
  • Warning:  SOLTEC Product(s) are not designed with components and testing  for a level of reliability suitable for use in or in connection with any aspect of life support systems or surgical procedures or any system or application where failure of the Product(s) can reasonably be expected to cause significant injury to a human.
  • Force Majeure:  SOLTEC shall be excused for any delay or failure to perform due to any cause beyond its reasonable control, including but not limited to acts of governments, natural catastrophes, acts of Customer, interruptions of transportation or inability to obtain necessary materials.  In the event SOLTEC is unable to perform in whole or in part because of any excusable failure to perform, SOLTEC may cancel orders without liability to Customer.
  • Acknowledgement:   Customer acknowledges reading these Terms and Conditions, understands them and agrees to be bound by them.  A waiver of any provision of this agreement shall not be construed as a waiver or modification of any other term hereof.
  • Limitation of Liability:  High Risk Activities.  Customer understands and agrees that SOLTEC has not tested or certified it Product(s) or Services for use in high risk applications including medical life support, nuclear power, mass and air transportation control, or an other potential life critical uses and makes no assurances that the Services or Product(s) are suitable for any high risk uses.  Customer hereby indemnifies SOLTEC and agrees to hold harmless from, any and all liability, damages , claims, or proceedings arising our of a failure of Customer to obtain the appropriate license, intellectual property rights, or any other permissions required to support any SOLTEC supplied Product(s) or Services.
  • Export Laws:  The Product(s) are subject to control under U.S. Export Administration Regulations and applicable U.S. export control laws and regulations.  Customer agrees that it will not export, re-export or transfer the Product(s) via any means to any prohibited destination, entity or individual without the required export license(s) or authorization(s) from the U.S. Government.  SOLTEC reserve the right not to ship the Product(s) ordered if, at any time, SOLTEC believe that such shipment may violate U.S. export control laws.
